Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you and Coniferous LLC ("we", "us", or "our") governing your access to and use of our website (meetcedar.app), desktop application (Cedar), and related services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our Services.

You must be at least 16 years of age to use our Services. By using our Services, you represent and warrant that you meet this requirement and have the legal capacity to enter into these Terms.

Cedar is a desktop application that records, transcribes, and takes notes on your meetings on your Mac. You are responsible for complying with any laws, regulations, and third-party rules (including the recording-consent laws of the jurisdictions where you and your meeting participants are located) that apply to your use of Cedar.

We grant you a personal, worldwide, royalty-free, non-assignable, non-exclusive license to use the Cedar desktop application, subject to these Terms. We may update Cedar from time to time; updates are governed by these Terms unless we provide different terms with the update.

Cedar uses third-party open-source components; their licenses are included with the application.

Cedar is currently free to download and use. We've described a future Pro tier on our Pricing page. Pro is not yet available and the features and pricing of Pro are subject to change. We are not obligated to ship Pro or to honour any specific feature listed.

The Services and their original content, features, and functionality are and will remain the exclusive property of Coniferous LLC and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

You retain all rights to the recordings, transcripts, and notes Cedar produces on your Mac. We claim no ownership and no license to that content.

The Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

Cedar's transcription is produced by a machine-learning model running on your Mac. Transcripts may contain errors. Do not rely on Cedar's output for any decision where accuracy is critical without independently verifying the source audio.

To the maximum extent permitted by applicable law, Coniferous LLC and its affiliates, officers, employees, agents, partners, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of (or inability to use) the Services.

You agree to defend, indemnify, and hold harmless Coniferous LLC and its affiliates from and against any claims, liabilities, damages, losses, and expenses, including legal fees, arising out of or in any way connected with your use of the Services or your violation of these Terms.

We may terminate or suspend your access to the Services at any time, without prior notice, for any reason, including violation of these Terms. Upon termination, your right to use the Services will immediately cease.

These Terms shall be governed by and construed in accordance with the laws of the State of Minnesota, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Hennepin County, Minnesota.

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms with a new "Last updated" date. Your continued use of the Services after such modifications constitutes acceptance of the updated Terms.
